1. Acceptance of Terms

Welcome to Budj, a service provided by Fusion Labs Limited ("we," "us," or "our"). These Merchant Terms of Service govern your access to and use of the Budj Merchant Dashboard and related services. By registering as a Merchant, you agree to be bound by these Terms and your individual Merchant Agreement.

2. Merchant Wallet and Credits

A. Prepaid Credits

You may purchase Prepaid Credits as a "Marketing & Rewards Service Fee" to fund cashback campaigns. These credits are a prepaid fee for the platform's facilitation of your customer rewards. Prepaid Credits are non-refundable.

B. Postpaid Credits

Selected Merchants may be granted Postpaid Credits based on their creditworthiness and history. Usage of postpaid credits will be invoiced at the end of the billing cycle.

C. Free Trial Credits

Budj may provide free trial credits to new Merchants. These credits have no cash value and are used to offset platform fees and commissions.

3. Commissions and Fees

A. Platform Commissions

Budj charges a commission on various platform activities as specified in your Merchant Agreement. This may include:

  • Cashback Commission: A percentage of the cashback value issued.
  • Loyalty Commission: A fee based on loyalty points earned or redeemed.

B. Max Commission on Revenue

Your total commission costs are protected by a "Max Commission on Revenue" cap defined in your Agreement, ensuring your marketing costs remain within a fixed percentage of your sales.

4. Invoicing and Payments

A. Billing Cycles

Invoices are generated according to your Invoicing Cycle (Weekly, Bi-Weekly, or Monthly).

B. Payment Terms

Payments for invoices are due within the period specified in your Merchant Agreement (e.g., 7 days after issuance). Late payments may result in the suspension of your campaigns or dashboard access.

5. Merchant Responsibility

  • Accuracy: You are responsible for ensuring that your outlet details, cashback rates, and campaign settings are accurate.
  • Customer Disputes: You are responsible for handling all customer disputes regarding the quality of goods and services. Budj is only responsible for the technical facilitation of rewards.

6. Reward Reversals

If you process a refund for a customer, you must initiate the refund through the Budj system to ensure that associated rewards are correctly clawed back from the user's account and credited back to your Merchant Wallet.

7. Termination

Either party may terminate the Merchant Agreement according to the notice period specified therein. Upon termination, access to the Merchant Dashboard will be revoked.
